Acceptance of Terms and Conditions

This Agreement pertains to all users of the Services ("Users"), which include "Students" who have registered with the Site and have current paid access to any of the courses or programs or other materials, collectively referred to as "Courses," provided by "Business Improvement Mastery." Users may also be referred to as "Visitors" if they are not Students or if they are Students accessing unpaid content or material. By utilizing this Service, you explicitly acknowledge and agree to comply with this Agreement, including any additional terms and conditions ("Additional Terms") provided to you in conjunction with the Services and other materials offered to you or made accessible to you. Please also reference our privacy policy ("Privacy Policy") and earnings disclaimer ("Earnings Disclaimer"), both of which are hereby incorporated into this Agreement. In the event of any inconsistency between this Agreement and the Additional Terms, the Additional Terms shall take precedence.

If you are not a resident of Australia, your utilization of this Site and the submission of personal information inherently signify your consent to the transfer of your personal information to Australia.

This Agreement is subject to periodic modifications. The continued utilization of the Services following any alterations to this Agreement constitutes your acceptance of the modified Agreement. Eligibility

A prerequisite for using the Services is that you must be a minimum of 18 years old. By using the Services, you declare and affirm that you are at least 18 years of age. Consequently, you represent, covenant, and warrant that you meet this age requirement, as the Services are not intended for users who are under 18 years of age.

User Registration

In order to access or utilize any aspect of the Services, features, and/or functionality, it is mandatory for you to personally register for a User Account using a unique email address (username) and password combination, collectively referred to as "User Credentials." Additional personal information, which may include but is not limited to your email address, name, and any other related information, constitutes part of your "User Account." Certain information provided during User Account registration may be visible to other Users of the Service. By registering an account, you acknowledge the accuracy and truthfulness of the information you provide. It is your responsibility to promptly update this information during your tenure as a registered User of the Services.

Registered Users are held accountable for maintaining the confidentiality of their User Credentials. You are solely responsible for any access to or use of the Services facilitated by you or any other individual or entity utilizing your User Credentials, regardless of whether such use was authorized by you, an employee, agent, or any other party acting on your behalf. Therefore, it is imperative that you refrain from sharing your User Credentials with any other party and exercise due diligence when accessing your User Account from a public or shared computer to prevent others from observing or recording your User Credentials or gaining unauthorized access to your User Account. In the event of a security breach or unauthorized use, you commit to promptly notifying us. We retain the right to deny access, usage, and registration privileges to any User of the Services if concerns arise regarding the identity of the individual or entity attempting to access a User Account or any feature of the Services.

Access to and Usage of the Services

Access to and usage of the paid Services is exclusively reserved for Students. Users are granted permission to access course content, provided they adhere to the copyright and terms of use in the case of free material, and comply with payment requirements in the case of paid content. Access to paid Services may be revoked in the event of payment lapses or any violations of the terms outlined in this Agreement.

Free services may be extended to Users or unregistered Visitors. We retain the right to modify or discontinue the Services without prior notice. In the event that any part of the Services becomes temporarily or permanently unavailable, we bear no liability. Registered Users and other individuals may be subject to restricted access to certain or all portions of the Service at our sole discretion.

You further acknowledge and agree that content within specific Services, in part or whole, may be subject to technological restrictions, such as digital rights management technology, designed to safeguard digital information and content from unintended and unauthorized use and access. These measures may limit and constrain your usage of such content in accordance with specific rules and restrictions. By utilizing this Service, you explicitly agree to adhere to these rules and restrictions at all times and commit not to violate or attempt to violate any of these security components.

Term and Termination

This Agreement shall remain in effect for the entire duration of your usage of the Services provided by Business Improvement Mastery. Business Improvement Mastery retains the discretion to terminate this Agreement and/or suspend your use of or registration for the Services at any time and for any reason.

Your obligations under this Agreement, the Privacy Policy, Additional Terms, any indemnifications, warranties, limitations of liability, and any other pertinent provisions shall remain effective even after the termination or suspension of this Agreement and/or your use of the Services. However, Business Improvement Mastery shall cease to have any further liability or responsibility to you once this Agreement is terminated.

Payment Information and Course Cancellation

For the duration of your membership subscription to any products or services on or through this Site, you affirm that you are at least 18 years of age and agree to promptly pay, in full, all applicable fees and charges, including, but not limited to, all relevant taxes. Providing incorrect payment information or failing to pay the required fees may result in the termination of your User Account.

Please note that not all payment methods, currencies, or locations may be supported. The billing information you provide at the time of purchase will be used to calculate all relevant taxes. It is your responsibility to keep your payment methods up-to-date. If your chosen payment method (e.g., credit card, debit card) expires, and you fail to update your payment information, it is incumbent upon you to cancel your User Account. The provided payment method will continue to be utilized until you edit your payment information. You acknowledge and agree that we may continue to bill the provided payment method, and you will be solely responsible for any outstanding amounts.

Business Improvement Mastery unconditionally reserves the right to cancel your membership at any time. Please be advised that many free lessons are available online, so we encourage you to explore these free lessons before purchasing any paid courses to ensure you are confident about the course content.

You acknowledge and agree that third-party operational service providers, including, but not limited to, third-party payment systems associated with your purchases via the Site, will be utilized. As such, all purchases made through these third-party services are also subject to their respective terms and conditions of use. We cannot guarantee the performance or fairness of these third-party operational service providers, including any third-party payment services. It is your responsibility to assess their suitability before proceeding with any online financial transaction involving these third parties.

Please note that the prices for our program are subject to change without prior notice. It is your responsibility to ascertain whether the Additional Terms apply to your access to and use of the Services.

Since all charges on this Site will be processed through a third-party payment system, continuing your membership implies your agreement to be bound by the terms and conditions of the third-party payment processor, which may be subject to modifications from time to time. To enable us to continue processing payments through the third-party payment service, you agree to provide us with accurate and updated information about yourself and/or your business. You also authorize us to share this information and any transaction details relevant to the payment processing.

Business Improvement Mastery retains the discretion to replace its third-party payment service at any time without prior notice to you.

Importantly, you can cancel your membership at any time, without incurring any fees or charges.

Earnings

You explicitly recognize and agree that we have not made any implications, warranties, promises, suggestions, projections, representations, or guarantees regarding your future prospects or earnings concerning your purchase of Business Improvement Mastery products. Furthermore, we have not authorized any individual or entity to make such projections, promises, or representations on our behalf. Intellectual Property Rights

At Business Improvement Mastery, we (and/or our licensors) own all the rights, title, and interests in the Services, including, but not limited to, our audiovisual content, artwork, images, photographs, illustrations, graphics, patterns, designs, logos, style, text, software, music, data, user interfaces, visual interfaces, information, materials, and all other legally protectable features. User Content

As a member of Business Improvement Mastery, you and fellow Users may have the opportunity to engage in various communication features on our Services. You might also connect with Third-Party Social Media Services that allow you to submit, post, and share content, messages, and information via our Services (collectively, "User Content").

Business Improvement Mastery does not acquire any ownership rights in the User Content you submit or make available. You retain all rights that you have in your User Content even after you share it on our platform. By submitting User Content on our site, you grant us a non-exclusive, irrevocable, royalty-free, worldwide license to use, reproduce, create derivative works, publish, and distribute the User Content.

By agreeing to this condition, you acknowledge:

  1. You have no expectation of privacy for any User Content you share.

  2. No confidential, fiduciary, contractually implied, or other relationship is created between you and Business Improvement Mastery when you submit User Content through our Services.

You accept that all User Content is solely your responsibility. This means you are entirely responsible for the consequences of all User Content you submit or make available. You may not share User Content that violates this Agreement, as determined by Business Improvement Mastery at its sole discretion.

Furthermore, you may not post, submit, or share User Content that:

  • You do not have the legal right to share under any law, rule, regulation, or under contractual or fiduciary relationships.
  • Creates a security or privacy risk for any other person or entity.
  • Contains software that may potentially harm computer systems or violate the functionality of software or hardware.
  • Is unlawful, harmful, threatening, abusive, tortious, defamatory, deceptive, fraudulent, invasive of another's privacy, profane, obscene, discriminatory, vulgar, or contains explicit or graphic content.
  • Promotes racism, bigotry, hatred, or physical harm against any group or individual.

In summary, User Content shared on Business Improvement Mastery should comply with this Agreement and follow legal and ethical standards. Any violations will be determined at our sole discretion.

Communications

Our courses may provide you with the capability to send messages within the platform and communicate with other Users and us. You agree to use these communication methods available in our courses exclusively for sending communications and materials related to the subject matter for which we've provided these methods. All such communications you make will be considered as User Content and are subject to and governed by this Agreement.

By utilizing any of the communication methods available within our Services, you acknowledge and agree to the following:

  1. All communication methods constitute public means of communication between you and the other parties involved.

  2. Communications sent to or received from third-party service providers or other third parties are not endorsed, sponsored, or approved by Business Improvement Mastery unless expressly stated otherwise.

  3. Communications are not routinely screened, monitored, or pre-approved by us. However, we reserve the right to do so at our sole discretion in accordance with this Agreement.

If you are a student, you provide your consent to receive Notices (communications and notices) that we send related to your User Account and your use of the Services. These Notices may include email messages, in-Site messaging, and chat communications. They might also contain promotional, marketing, and advertising information and recommendations that we believe could be of interest to you. In accordance with applicable laws, if you do not wish to receive commercial emails, you can unsubscribe by following the instructions in any email. However, please note that we may still send you administrative and transactional Notices, such as information about your User Account, course registrations, payment details, career advice, updates on your progress, or other essential service-related information.

In summary, communication within Business Improvement Mastery should be used for course-related purposes. Your consent allows us to send you relevant information and updates, and you can choose to unsubscribe from promotional emails if you prefer not to receive them.

Monitoring of the Services

Business Improvement Mastery does not bear responsibility or liability for monitoring, or the lack of monitoring, the Services for inappropriate content or conduct. However, in our sole discretion, if we choose to monitor the Services at any time, it does not create an obligation to modify or remove any User Content, and we assume no responsibility for the conduct of any User.

Nevertheless, we reserve the right to review User Content and to delete, remove, move, edit, or reject it, without notice to you, for any reason or for no reason whatsoever. This includes any User Content that is or may be considered a violation of this Agreement or is deemed unacceptable to us, as determined solely by Business Improvement Mastery. Please note that we have no obligation or liability to you or any third party for the failure to do so or for doing so in any particular manner.

Furthermore, you acknowledge, consent, and agree that we may access, preserve, and disclose your User Account and registration information, as well as any other content or information if required by law. We may also do so based on a good faith belief that such access, preservation, or disclosure is reasonably necessary to:

  1. Comply with the law or legal process.
  2. Enforce this Agreement.
  3. Respond to claims that any content or information violates the rights of any third party.
  4. Address your requests for customer or technical service.
  5. Protect our rights, property, personal safety, other Users, and/or any third parties, including taking action in urgent circumstances.

In essence, Business Improvement Mastery may monitor and take action in certain situations to ensure the appropriate use of our platform, protect the rights and safety of all Users, and comply with legal requirements.

Copyright

At Business Improvement Mastery, we hold great respect for the intellectual property rights of others. Our policy is to promptly respond to any claim that content posted on the Service infringes upon the copyright or other intellectual property rights of any individual or entity. Indemnity

You are solely responsible for your interactions with the Site and associated Services. To the extent permitted under applicable laws, you hereby release us from any and all claims or liability related to any product or service provided by third parties, any action or inaction by third parties, including third parties' failure to comply with applicable law, and any conduct or speech, whether online or offline, of any other user.

This indemnity clause is designed to protect your business interests and legal rights.

DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

Business Improvement Mastery is not responsible for the applications that Users make of the information learned from this website in their business analysis activities. Furthermore, you understand and agree that, to the fullest extent permissible by law, Business Improvement Mastery, its affiliates, and each of their successors and assigns, officers, directors, employees, agents, representatives, licensors, operators, service providers, advertisers, and suppliers, shall not be liable for any loss or damage, of any kind, direct or indirect, in connection with or arising from the use of the services or from this agreement, including, without limitation, compensatory, consequential, incidental, indirect, special, or punitive damages in the realm of business analysis activities.

Applicable law may not allow the limitation or exclusion of liability or incidental or consequential damages in the context of business analysis activities, so the above limitation or exclusion may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law as you engage in business analysis activities.

LIMITATION ON TIME TO FILE CLAIMS; WAIVER OF CLASS ACTIONS

Any provision that must remain in effect for us to enforce its meaning will survive the termination of this agreement. However, no action arising from this agreement and/or the services, regardless of its form or the basis of the claim, may be initiated by you more than one year after the cause of action first arose, or if multiple causes, from the date the first such cause arose. In accordance with applicable law, we both agree that claims against each other will only be pursued in your or our individual capacity, and not as a plaintiff or member of a class in any purported class or representative action. Unless we both consent, no arbitrator or judge may consolidate claims from more than one person or oversee any form of a representative or class proceeding.

Geographic Restrictions; Export Control

Business Improvement Mastery controls and operates the Services from Australia. We do not warrant that the Services are suitable or accessible for use outside of Australia. Users who choose to access the Services from other locations do so at their own risk and are responsible for complying with all local laws, rules, and regulations, to the extent they are applicable. No software provided in connection with the Services may be downloaded, exported, or re-exported to countries that are subject to Australian export restrictions or to any individuals or entities located in those countries.

General

If any provision of this Agreement is found to be illegal, invalid, or unenforceable, it will not affect the legality, validity, or enforceability of other provisions, and this Agreement will be considered amended to the extent required to make it legal, valid, and enforceable. The terms "include," "includes," and "including," whether capitalized or not, mean "include, but are not limited to," "includes, but is not limited to," and "including, but not limited to," respectively. They should be interpreted as inclusive, not exclusive. The failure of Business Improvement Mastery to exercise or enforce any right or provision of this Agreement will not act as a waiver of such right or provision.

This Agreement, as well as any rights, licenses, and privileges granted herein, cannot be transferred or assigned by you. However, Business Improvement Mastery retains the right to assign or transfer this Agreement without restrictions, notice, or any other obligations to you.

All matters related to the Services and this Agreement, as well as any disputes or claims arising from or related to them (including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal state laws of New South Wales (NSW), without regard to any choice or conflict of law provision or rule from NSW or any other jurisdiction. Any legal suit, action, or proceeding arising from or related to this Agreement and/or the Services must be exclusively initiated in NSW courts located in Sydney. You waive any objections to the jurisdiction of such courts and consent to venue in those courts.

The headings used in this Agreement are for quick reference and convenience only and should not be used to interpret the meaning or intent.

This Agreement represents the complete understanding and agreement between you and Business Improvement Mastery regarding the Services and supersedes all prior or inconsistent understandings related to the Services and your usage of them.

This Agreement may be modified, with the date of the last modification indicated above and effective immediately. Please always check for any changes to the terms of use.

Revision and Errata

The materials provided through our membership may occasionally contain technical or visual errors (typos). While we strive to maintain error-free materials, if you come across any mistakes, please inform us, and we will make every effort to correct them promptly.
